Terms of service and conditions of sale

The contract between CUZY and its customers for hosting subscriptions and module licenses. Plain language on purpose; where a clause is precise it is because it has to be.

Version 2.4, effective 28 October 2026. The version you accepted, with its date, is available in your customer account.

1. Parties and scope

These terms apply between CUZY, 80 St. Columbanus Road, Dundrum, Dublin 14, D14 WP98, Ireland ("CUZY") and the customer who creates an account on CUZY.app, subscribes to CUZY Hosting or buys a module license. The privacy policy and, for hosting, the Data Processing Agreement and the published security measures and retention schedule are part of the contract.

2. Account and eligibility

Customers are businesses, organizations and individuals aged 18 or over. An individual acting for purposes outside their trade, business, craft or profession is a "consumer"; consumers keep every right that the consumer law of the country where they live grants and that a contract cannot exclude. One account per person; you are responsible for keeping credentials confidential and for what is done with your account. Information given at signup and checkout must be accurate, including the VAT number when applicable.

3. Hosting subscriptions

CUZY Hosting provides a HumHub community operated by CUZY on the plan you choose (Team or Business), with the limits and features published on the pricing page at the time of order. CUZY installs updates, takes backups, monitors the service and provides support. You administer the community: members, content, permissions, legal pages and settings. Higher limits and additional services may be agreed in writing (quote) and are then part of the contract.

The community is provided at an address under cuzy.app and may be connected to a domain you control. HumHub is licensed to you under its own license (AGPL) by HumHub GmbH & Co. KG; CUZY modules under the CUZY license; marketplace modules from third parties under their publishers' terms.

4. Free trial

A trial community is free for 14 days, without payment details, one per email address. Trials include every CUZY module but are not backed up and cannot be exported; both begin with a subscription. At the end of the trial the community is suspended, archived after 14 more days and deleted 14 days after that, unless a subscription is taken. CUZY may extend a trial on request and may end a trial that breaches these terms.

5. Prices, payment, renewal

Prices are in euros, as published at the time of order. No VAT is charged while CUZY is not registered for VAT; once it is, prices shown to consumers include VAT. Subscriptions are billed in advance, monthly or yearly, and renew automatically for the same period until canceled from the customer account. Payment is by card through Stripe. If a payment fails, we retry and notify you; the community shows a payment notice to its administrators and is suspended if payment is not completed within the grace period stated in the account (seven days after the paid period ends). Suspended communities stay intact and resume on payment.

You change plan from the customer account: the new plan starts with a new subscription, paid when you choose it, and your previous subscription then stops renewing. The unused part of the period already paid on the previous plan, counted as for an early end (section 10), is not refunded: it is credited on your next payments for the new plan until it is used up. If you are a consumer, you may ask for a refund instead. Prices may change with at least 30 days' notice by email before a renewal; you may cancel before it applies. A community on a paid Team plan gets 50% off the CUZY module licenses bought for it, and on their renewals while it stays on Team.

6. Acceptable use and content moderation

You may not use the service to break the law, infringe rights, distribute malware, send unsolicited bulk email, host content that is illegal in your jurisdiction or in the country hosting your community, or attack the service or others. Sending limits and storage limits protect all customers; exceeding them repeatedly after notice may lead to suspension. Custom code on Business plans is reviewed before activation and must not access other customers' data or the platform. You remain responsible for your members' behavior and for moderating your community.

CUZY does not monitor or moderate the content of communities; your administrators moderate it with HumHub's tools. CUZY acts on content only on an order from an authority, a notice of illegal content, or evidence of a breach of this section. Its measures are limited to what is needed: asking you to remove specific content, disabling access to it, or, when a community is used for illegal purposes or you do not act, suspending it or ending the contract. Decisions are taken by a person, never by automated tools.

Reporting illegal content. Anyone can report content hosted by CUZY that they consider illegal, by email to contact@cuzy.app. A notice gives the exact URL of the content, explains why it is illegal, gives the reporter's name and email address, and states that the reporter believes in good faith that it is accurate and complete. CUZY confirms receipt, decides in a timely, diligent and objective manner, and informs the reporter of its decision and of the available redress.

Statement of reasons and redress. When CUZY restricts content, suspends a community or ends an account because of illegal content or a breach of these terms, it emails the customer a statement of reasons: what was decided and for how long, the facts relied on and whether a notice prompted it, the legal or contractual ground, and how to contest it. You can contest by replying within six months; another person reviews the decision and answers with reasons. You may also go to court.

Point of contact under the Digital Services Act (Regulation (EU) 2022/2065), for authorities and users: contact@cuzy.app, in English or French.

7. Your data

You own your content and your members' data. CUZY processes it as your processor under the Data Processing Agreement. Subscribers can download a complete export (database and files) from the customer account once a day; CUZY may also produce one on request after the contract ends, within the deletion period. Backups follow the published schedule. CUZY accesses your community only for support at your request, to investigate incidents, or as required by law, and logs such access.

8. Availability and support

CUZY targets 99.5% monthly availability for Team and 99.9% for Business, measured by our monitoring outside announced maintenance windows, and publishes achieved values on the status page. These are targets, not guarantees with penalties, unless a service level agreement is signed separately. Support is provided by ticket on business days in English and French; Business customers also have a priority channel. Security fixes are deployed within 48 hours of release; other updates follow the published update policy with prior notice for changes that affect administrators.

9. Changes to the service

CUZY may change the service for valid reasons: security, new HumHub versions, legal requirements, or the cost of operating it. Changes come at no extra cost. A change that removes a published feature or reduces a limit for existing subscribers is announced by email at least 30 days ahead; you may then terminate free of charge, with a pro rata refund of any prepaid period, within 30 days of the notice or of the change, whichever is later. CUZY announces significant changes to these terms by email at least 30 days before they apply; if you do not accept them, you may cancel before they apply and the version you accepted governs until the end of your paid period.

10. Termination and deletion

You may cancel at any time from the customer account; the community stays available until the end of the paid period, then follows the suspension and deletion schedule: archived about 30 days after the end of the subscription, and deleted with its backups at the latest six months after that date, earlier if you ask. You may also delete a community immediately with a seven-day cancellable grace period.

Early end with a pro rata refund. You may ask CUZY at any time, by email or ticket, to end a hosting subscription before the end of the paid period, and deleting the community from the customer account does the same. The subscription ends on the date you choose (at the earliest the day of your request, or the end of the seven-day grace period of a deletion), and CUZY refunds the remaining days of the paid period pro rata (the price of the period divided by its number of days, times the full days left after the end date) within 14 days, by the means of payment you used. Before that date you can download a complete export of your data and, on Team and Business, the code of your community through read-only SFTP, to run it on your own server or with another provider. CUZY may suspend or terminate for material breach after notice, or immediately when required to prevent harm or comply with the law. After termination for your breach, the unused part of a prepaid period is refunded, minus any amount CUZY is owed because of the breach.

11. Module licenses (self-hosted HumHub)

A paid module license grants the right to install one CUZY module on one HumHub installation, identified by the domain given at purchase, under the CUZY commercial license: version 2.0 for every purchase and renewal made on CUZY.app from 8 October 2026, version 1.0 for earlier purchases until their next renewal or an opt-in by email. Unless described as lifetime, the license includes updates through the HumHub marketplace and support for twelve months, with bugs of the module fixed within 14 days of a reproducible report. A module keeps working after that period; it no longer receives updates or support, and its license key is removed from the marketplace. If you are a consumer, this does not limit your statutory right to the updates needed to keep the module in conformity with the contract.

A license can be renewed at any time, even long after it has expired, at the published yearly renewal price. Each license keeps its own end date: a renewal paid before the end adds twelve months to it; a renewal paid after the end starts twelve months from the payment date, with a new license key to register. Several licenses can be renewed in one payment, and you may ask at checkout for the renewal to be charged automatically every year by card; you can cancel that automatic renewal at any time from your customer account, and it then simply stops. A renewal discount agreed with CUZY when you purchased is applied to your renewals for as long as you hold the license. Licenses are delivered by email and in the customer account. Amounts paid are not refunded, except as provided by law or in specific cases at our discretion.

12. Right of withdrawal

Consumers living in the European Union or the United Kingdom have 14 days to withdraw from a distance contract; the terms of sale of each shop describe how, with a model withdrawal form. Module license keys are delivered at once and that does not end the right of withdrawal: a consumer who withdraws within the 14 days is refunded in full and the license ends, or a renewed license goes back to its previous end date. For hosting, the trial precedes payment; if you subscribe as a consumer you may withdraw within 14 days and pay only for the part of the period already provided.

13. Warranty and liability

CUZY provides the services with professional care. Software, including HumHub and modules, cannot be guaranteed free of errors; CUZY corrects defects it is responsible for by updates or workarounds. To the extent permitted by law, CUZY's total liability for a contract year is limited to the amounts paid for the affected service in that year, and CUZY is not liable for indirect damages such as lost profits, business interruption or data loss beyond what published backups would have restored. Nothing limits liability for intent, gross negligence, death or personal injury, or where mandatory law says otherwise. If you are a consumer, the limits in this section do not apply to your statutory rights when the service does not conform to the contract (bringing it into conformity, price reduction, termination and damages). Defects caused by your own modifications are outside the warranty; if you are a consumer, it is for CUZY to show that the modification caused the defect.

14. Governing law

These terms are governed by the laws of Ireland. If you act for your business or organization, disputes are brought before the competent courts of Ireland. If you are a consumer, you may bring proceedings in Ireland or in the courts of the country where you live, CUZY may bring proceedings against you only in the courts of that country, and you keep the protection of the mandatory consumer law of that country. If a clause is invalid, the remainder stays in force.
